1. Agreement
These Terms of Service (Terms) govern your access to and use of the Treliso website, application, and related services (collectively, the Service) provided by Treliso Limited (we, us, or our).
By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Who may use the Service
The Service is intended for sole traders, contractors, and small businesses that need accounting and bookkeeping support.
You must be at least 18 years old and have authority to enter into these Terms on your own behalf or on behalf of the business you represent.
You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
3. The Service
Treliso provides cloud accounting software and related support services, including tools for bank reconciliation, bills, receipts, invoices, review workflows, and tax-related record keeping.
We may update, improve, or change features from time to time. Where a change materially reduces core functionality you rely on, we will use reasonable efforts to notify you in advance.
The Service helps you organise financial information and prepare work for review. It does not replace your responsibility to verify records, meet filing deadlines, or obtain professional advice where required.
4. Trials, subscriptions, and fees
We may offer free trials or promotional access. Unless otherwise stated, a trial converts to a paid subscription at the end of the trial period unless you cancel before renewal.
Fees, billing intervals, and plan inclusions are shown at signup or in your account settings. Prices may change on renewal, and we will give you reasonable notice before a price increase takes effect.
Unless required by law, fees already paid are non-refundable. If you cancel, you will retain access until the end of the current billing period.
5. Your responsibilities
You must provide accurate account, business, and tax information and keep it up to date.
You must use the Service lawfully and must not misuse it, attempt to access another user's data, interfere with the Service, or upload malicious code.
You remain responsible for reviewing records, approving material changes, and ensuring your use of the Service complies with applicable tax, accounting, and record-keeping obligations.
6. Data and privacy
You retain ownership of the data you submit to the Service. You grant us a limited licence to host, process, back up, and use that data only to provide and improve the Service and support you.
We handle personal information in accordance with our privacy practices. Contact us if you have questions about how we collect, use, or store information.
7. Intellectual property
We own the Service, including its software, branding, documentation, and underlying technology. These Terms do not transfer any ownership rights to you.
You may not copy, modify, reverse engineer, resell, or create derivative works from the Service except as permitted by law or with our written consent.
8. Disclaimers
The Service is provided on an as-is and as-available basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Information provided through the Service is general in nature and is not legal, tax, or financial advice. You should obtain independent professional advice before making decisions based on your accounting or tax position.
9. Limitation of liability
To the maximum extent permitted by law, Treliso Limited will not be liable for any indirect, incidental, special, consequential, or punitive loss, or for loss of profits, revenue, data, goodwill, or business opportunity arising from your use of the Service.
Our total liability for any claim relating to the Service is limited to the greater of NZD $100 or the fees you paid us in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits rights or remedies that cannot be excluded under applicable law, including rights under the Consumer Guarantees Act 1993 where it applies.
10. Suspension and termination
You may stop using the Service at any time and may cancel your subscription through your account or by contacting us.
We may suspend or terminate access if you breach these Terms, if required by law, or if continued provision of the Service becomes impractical.
On termination, your right to access the Service ends. We may retain or delete your data in accordance with our retention practices and legal obligations.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the last updated date.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, unless applicable law requires otherwise.
